1. Introduction and Acceptance of Terms
Welcome to Axisure. Axisure is an online platform that enables entrepreneurs, founders, and innovators to share startup ideas, post projects, seek collaborators, and engage with a community of like-minded individuals. These Terms of Use ("Terms") govern your access to and use of the Axisure website, platform, and any related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, please discontinue use of the Platform immediately.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Axisure ("we", "us", or "our"). We reserve the right to update or modify these Terms at any time, with notice provided as described in Section 10.
2. User Accounts and Responsibilities
2.1 Account Creation
To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information up to date.
2.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Axisure immediately at support@axisure.xyz if you suspect any unauthorized access to or use of your account. Axisure will not be liable for any loss or damage arising from your failure to safeguard your account.
2.3 Eligibility
You must be at least 18 years of age to create an account and use the Platform. By using Axisure, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
2.4 One Account Per User
Each user may maintain only one active account. The creation of multiple accounts to circumvent restrictions, bans, or platform policies is strictly prohibited.
3. User-Generated Content
3.1 Your Content
Axisure allows users to post, upload, share, and publish content, including but not limited to startup ideas, project descriptions, comments, feedback, messages, and other materials ("User Content"). You are solely responsible for all User Content you submit to the Platform.
3.2 Content Standards
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights, licenses, or permissions to post such content.
- Your content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
- Your content is accurate, lawful, and does not violate these Terms or any applicable laws.
- Your content does not contain harmful, defamatory, obscene, or otherwise objectionable material.
3.3 Feedback and Interactions
Users may provide feedback, comments, and suggestions on other users’ projects and ideas. All interactions on the Platform must be constructive, respectful, and in accordance with these Terms. Axisure reserves the right to remove any content that violates these standards.
4. Intellectual Property
4.1 Ownership of Your Content
You retain full ownership of all ideas, concepts, inventions, and other intellectual property contained in the User Content you post on the Platform. Nothing in these Terms transfers ownership of your intellectual property to Axisure or to any other user.
4.2 License Granted to Axisure
By posting User Content on the Platform, you grant Axisure a non-exclusive, royalty-free, worldwide license to access, display, reproduce, and use your content solely for the purpose of operating, maintaining, and improving the Platform and its services. This license does not grant Axisure the right to sell, commercialize, or transfer your content to third parties outside the scope of Platform operations.
You may withdraw this license at any time by deleting the relevant content from the Platform or by closing your account, subject to any retention required by law or prior interactions already recorded by other users.
4.3 Axisure Platform Content
All trademarks, logos, brand elements, interface designs, and proprietary technology associated with Axisure are the exclusive property of Axisure and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any Axisure-owned content without prior written permission.
4.4 Idea Sharing and Risk Disclosure
Axisure is an open community platform. When you post an idea, project, or any form of User Content, that content becomes visible to other registered users of the Platform. Axisure does not guarantee the confidentiality of your submissions and is not responsible for any unauthorized use, copying, replication, or misappropriation of your ideas or content by other users or third parties.
You acknowledge and accept that sharing your ideas on a community platform carries inherent risks, including the possibility of idea exposure. Axisure strongly recommends that users exercise discretion when sharing sensitive proprietary information and seek independent legal counsel regarding the protection of their intellectual property, including the filing of patents, trademarks, or other applicable protections before public disclosure.
Axisure shall bear no liability for any loss, damage, or harm arising from the use, reproduction, or misappropriation of your content by other users or third parties.
5. Prohibited Activities
To maintain a safe, respectful, and productive environment for all users, the following activities are strictly prohibited on the Platform:
- Posting content that is defamatory, abusive, harassing, threatening, hateful, obscene, or otherwise harmful to any individual or group.
- Engaging in any form of spam, including unsolicited messages, bulk messaging, or repetitive promotional content.
- Uploading, transmitting, or distributing malware, viruses, or any other harmful or disruptive code or software.
- Impersonating any person, entity, or organization, or falsely representing your affiliation with any party.
- Using the Platform for any illegal purpose, including fraud, money laundering, the promotion of illegal activities, or the distribution of illegal content.
- Scraping, harvesting, or systematically extracting data from the Platform without prior written authorization from Axisure.
- Interfering with or disrupting the integrity, security, or performance of the Platform or its infrastructure.
- Attempting to gain unauthorized access to any account, system, or network associated with Axisure.
- Posting false, misleading, or deceptive content about yourself, your project, or any third party.
- Using the Platform to solicit, collect, or store personal information of other users without their explicit consent.
- Violating the intellectual property rights of any third party, including uploading copyrighted content without authorization.
Axisure reserves the right to investigate and take appropriate action against violations of these prohibitions, including removal of content, suspension, or termination of accounts, and referral to law enforcement where applicable.
6. Platform Role and Disclaimer
6.1 Facilitator Only
Axisure operates solely as a technology platform and community facilitator. We provide the tools and infrastructure for users to share ideas, connect with collaborators, and engage with the startup ecosystem. Axisure is not a business partner, co-founder, advisor, investor, or financial backer of any user, project, or startup featured on or discovered through the Platform.
6.2 No Guarantee of Outcomes
Axisure makes no representations, warranties, or guarantees regarding the success, funding, commercialization, viability, or outcomes of any idea, project, or collaboration facilitated through the Platform. The Platform does not guarantee that any user will secure investment, find co-founders, attract customers, or achieve any specific business result.
6.3 No Endorsement
The presence of any idea, project, user profile, or content on the Platform does not constitute an endorsement, recommendation, or validation by Axisure. Users are encouraged to conduct their own due diligence before engaging in any collaboration, business arrangement, or investment discussed on the Platform.
6.4 Third-Party Interactions
Any agreements, arrangements, or transactions you enter into with other users or third parties discovered through the Platform are solely between you and the relevant parties. Axisure is not a party to any such arrangements and bears no responsibility for their terms, performance, or outcomes.
7. Limitation of Liability
7.1 Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Axisure disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2 Limitation of Damages
To the maximum extent permitted by applicable law, Axisure, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities.
- Financial losses resulting from reliance on content posted on the Platform.
- Disputes, disagreements, or legal claims arising between users.
- Unauthorized access to, alteration of, or loss of your content or account data.
- Any damages arising from idea theft, misappropriation, or misuse of content by other users or third parties.
- Interruptions, errors, delays, or unavailability of the Platform or its services.
7.3 Cap on Liability
In jurisdictions where a complete exclusion of liability is not permitted, Axisure’s total aggregate liability to you for any claim arising out of or related to your use of the Platform shall not exceed the amount you have paid to Axisure in the twelve (12) months preceding the event giving rise to the claim, or fifty United States Dollars (USD 50), whichever is greater.
8. Account Suspension and Termination
8.1 Termination by You
You may close your account at any time by accessing your account settings or by contacting us at support@axisure.xyz. Upon account closure, your profile and associated content may be removed from public view, subject to any legal retention obligations or pre-existing interactions recorded by other users.
8.2 Termination or Suspension by Axisure
Axisure reserves the right to suspend, restrict, or permanently terminate your account, with or without prior notice, if we reasonably determine that:
- You have violated these Terms or our policies.
- Your conduct poses a risk to the safety, security, or integrity of the Platform or other users.
- You have engaged in fraudulent, illegal, or abusive behavior.
- We are required to do so by applicable law or a regulatory authority.
8.3 Effect of Termination
Upon termination of your account for any reason, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — shall continue to apply.
9. Privacy, Data Protection, and Communications
Axisure is committed to protecting your personal information. The collection, use, storage, and processing of your personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.
By creating an account and signing in, you consent to receive transactional and account-related emails from us (such as connection requests, application updates, and password resets). These communications are essential to the functioning of your account and the Platform.
Our Privacy Policy describes the types of data we collect, how it is used, how it is protected, and your rights as a data subject. We encourage you to review the Privacy Policy carefully before using the Platform. Our Privacy Policy is available at www.axisure.xyz/privacy.
10. Changes to These Terms
Axisure reserves the right to amend, update, or modify these Terms at any time. When changes are made, we will notify users through one or more of the following methods: a notice on the Platform, an email to your registered email address, or an update to the "Last Updated" date at the top of these Terms.
If the changes are material, we will provide at least fourteen (14) days’ advance notice before the updated Terms take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue your use of the Platform and close your account.
We recommend that you review these Terms periodically to stay informed of any updates.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Where Nigerian law does not address a particular matter, internationally recognized principles of applicable law shall apply.
11.2 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Nigeria.
11.3 Class Action Waiver
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, consolidated, or representative action.
12. General Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies or guidelines incorporated by reference, constitute the entire agreement between you and Axisure with respect to your use of the Platform, superseding all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
12.3 Waiver
Axisure’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Axisure.
12.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Axisure’s prior written consent. Axisure may assign its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
